What reasons would a company have to withhold news/updates?

I know that there are some rules about what can be communicated prior to a public offering, etc. but are there any other rules regarding a company delivering information to investors that would make them go quiet priori to an announcement?

Merger / Acquisitions?

Uplisting?

Reverse splits?

Etc?

I'm long in a OTC penny stock that I believe has lots of long term potential, they generally post an update every month but have been quiet for over 3 months now… just trying to get any foresight.. merger/acquisition, or reverse split & uplist seem to be likely to happen in the next 1-3 years I think.. just wondering if I can read between the lines at all that their usual monthly update has been quiet for a while now. I just have a feeling they are quiet to comply with some SEC rules… no proof just a hunch.
